These Terms and Conditions of Sale (“Terms”) govern purchases made through narii.co (the “Website”).
The Website is operated by NARII, SASU au capital social de 20 000 €, registered with the Nice Trade and Companies Register under number RCS Nice 101 435 113, with its registered office at 1e D A8 + Éden Palace, 2 Avenue François de May, 06320 Cap-d'Ail, France, VAT number FR55 101 435 113.

For the purposes of these Terms, “NARII”, “we”, “us” and “our” refer to NARII, and “you” or “customer” refers to any person purchasing a product through the Website.
By placing an order through the Website, you confirm that you have read and accepted these Terms.
1. SCOPE
These Terms apply to all purchases of NARII products made through the Website by consumers.
The Terms applicable to an order are those in force on the Website at the time the order is placed.
NARII reserves the right to update or amend these Terms from time to time. Any changes will apply only to orders placed after the updated Terms have been published.
2. PRODUCTS
NARII takes reasonable care to present its products as accurately as possible, including their colours, materials, dimensions and other characteristics.
However, colours may appear differently depending on the screen or device used to view the Website.
Our products are made using natural leather and woven construction techniques. Variations in grain, texture, tone and other subtle characteristics may naturally occur. These variations are inherent to natural materials and the making process and do not, in themselves, constitute defects.
Product photographs and descriptions are intended to provide the most accurate representation reasonably possible but are not contractually binding where minor differences do not affect the essential characteristics of the product.
Products are offered subject to availability.
3. PRICES
Prices displayed on the Website are shown in the currency indicated and include applicable VAT where required.
Delivery charges, if applicable, will be clearly displayed before the customer confirms the order.
For orders delivered outside the European Union, the customer may be responsible for import duties, local taxes, customs charges or other fees imposed by the destination country, unless the Website or checkout expressly states that such charges are included.
NARII reserves the right to change its prices at any time. Products will be charged at the price displayed when the order is confirmed.
In the event of an obvious pricing or technical error, NARII reserves the right to cancel the affected order and refund any amount paid.
4. ORDERS
To place an order, the customer selects the desired product or products and proceeds through the Website checkout.
Before confirming payment, the customer has the opportunity to review the order and correct any errors.
By completing the checkout and submitting the order, the customer acknowledges that the order entails an obligation to pay.
After an order has been placed, the customer will receive an electronic confirmation acknowledging receipt of the order.
NARII reserves the right to refuse or cancel an order where there is a legitimate reason to do so, including suspected fraud, payment failure, an obvious pricing error, product unavailability or a dispute concerning a previous order.
If NARII cancels an order after payment has been received, the amount paid for the cancelled order will be refunded.
5. PAYMENT
Payment is due in full when the order is placed.
Available payment methods are displayed during checkout and may include major credit and debit cards, PayPal and other payment methods offered through our payment provider.
Payments are processed through secure third-party payment providers. NARII does not directly store full payment card details.
An order will not be dispatched until payment has been successfully authorised.
6. DELIVERY
NARII delivers to the destinations made available during checkout.
Available delivery methods, estimated delivery times and any applicable delivery charges are displayed during the ordering process.
The customer is responsible for providing complete and accurate delivery information.
Delivery times are estimates unless a specific binding delivery date has expressly been agreed.
NARII will take reasonable steps to deliver orders within the timeframe indicated at checkout and in accordance with applicable consumer law.
If a parcel is returned to NARII because the customer supplied an incorrect or incomplete address, failed to collect the parcel, or otherwise prevented delivery, additional delivery costs may be charged before the order is resent, where permitted by law.
Risk of loss or damage to the products passes to the consumer when the consumer, or a third party designated by the consumer other than the carrier, physically takes possession of the products, subject to applicable law.
7. RIGHT OF WITHDRAWAL
If you are a consumer located in the European Union or another jurisdiction providing an equivalent statutory right, you have the right to withdraw from your purchase without giving any reason within 14 days.
For purchases of goods, the withdrawal period generally expires 14 days after the day on which you, or a third party designated by you other than the carrier, physically receives the goods.
To exercise your right of withdrawal, you must inform NARII of your decision to withdraw through the withdrawal functionality provided on the Website or by an unequivocal statement sent to hello@narii.co.
Your communication must be sent before the withdrawal period expires.
You may use the statutory model withdrawal form below, although its use is not mandatory.

8. RETURNS FOLLOWING WITHDRAWAL
After notifying NARII that you are exercising your statutory right of withdrawal, the product must be returned without undue delay and no later than 14 days after communicating your decision to withdraw.
Unless otherwise stated by NARII, the direct cost of returning a product following a change of mind is the responsibility of the customer.
Products should be returned with reasonable care and, wherever possible, with their original packaging, dust bag and accessories.
You may inspect and handle a product to the extent necessary to establish its nature, characteristics and functioning, as you would reasonably be able to do in a physical shop.
You may be responsible for any reduction in the value of a product resulting from handling beyond what is necessary for that purpose.
Nothing in this section limits your statutory rights in relation to defective or non-conforming products.
9. REFUNDS
Where the statutory right of withdrawal has been validly exercised, NARII will reimburse payments received from the customer, including the cost of the least expensive standard delivery method offered for the original order where required by applicable law.
Additional delivery costs resulting from the customer's choice of a delivery method more expensive than our standard delivery option will not be reimbursed where permitted by law.
Refunds will be made using the same payment method used for the original transaction unless otherwise expressly agreed.
NARII may withhold reimbursement until the returned goods have been received or until the customer supplies evidence that the goods have been sent back, whichever occurs first, where permitted by applicable law.
10. DEFECTIVE OR NON-CONFORMING PRODUCTS
NARII products are covered by the statutory guarantees provided by French law, including the legal guarantee of conformity and the guarantee against hidden defects.
These statutory rights apply independently of the right of withdrawal described above.
If you believe that a product is defective, damaged or does not conform to your order, please contact hello@narii.co, preferably including your order number and photographs showing the issue.
NARII will assess the matter and provide the remedy required under applicable law, which may include repair, replacement, price reduction or reimbursement depending on the circumstances and the customer's statutory rights.
Natural variations in leather grain, texture, tone and other characteristics inherent to natural materials do not automatically constitute a lack of conformity.
Nothing in these Terms excludes, restricts or modifies any statutory consumer guarantee that cannot lawfully be excluded.
11. CARE AND USE
Customers should follow any care instructions supplied with a product or published on the Website.
Leather is a natural material and may change in appearance over time. Exposure to water, excessive humidity, heat, oils, cosmetics, alcohol, abrasive surfaces or prolonged direct sunlight may affect the appearance of the product.
Normal wear, ageing or damage caused by improper use or failure to follow reasonable care instructions is not considered a manufacturing defect, without prejudice to the customer's statutory rights.
12. PROMOTIONAL OFFERS
Promotional codes, discounts or other offers may be subject to additional conditions communicated at the time of the promotion.
Unless otherwise stated, promotional codes cannot be combined, exchanged for cash or applied retrospectively to an order that has already been placed.
NARII reserves the right to withdraw or amend a promotion in accordance with applicable law.
13. INTELLECTUAL PROPERTY
The Website and its contents, including the NARII name, trademarks, logos, designs, photographs, images, text, graphics, product designs and other material, are owned by or licensed to NARII and are protected by applicable intellectual property laws.
No part of the Website may be reproduced, distributed, modified, commercially exploited or otherwise used without prior written permission from NARII, except as permitted by law.
Access to the Website does not grant the user any ownership or licence in NARII's intellectual property other than the limited right to access and use the Website for personal purposes.
14. WEBSITE USE
You agree not to misuse the Website or interfere with its operation or security.
You must not knowingly introduce viruses, malicious code or other technologically harmful material, attempt unauthorised access to the Website or its systems, or use the Website for fraudulent or unlawful purposes.
NARII may restrict access to the Website where reasonably necessary to protect the Website, NARII or its customers.
15. THIRD-PARTY SERVICES
Certain features of the Website, including payment processing and other technical services, may be provided by third parties.
Use of those services may also be subject to the relevant third party's terms and privacy practices.
The NARII store is hosted using Shopify's e-commerce infrastructure.
16. PERSONAL DATA
NARII processes personal data in accordance with applicable data protection legislation, including the General Data Protection Regulation (GDPR).

17. LIABILITY
NARII is responsible for performing its obligations under these Terms in accordance with applicable law.
Nothing in these Terms excludes or limits liability where it would be unlawful to do so, nor does anything in these Terms restrict a consumer's mandatory statutory rights.
To the extent permitted by law, NARII will not be liable for losses resulting from circumstances outside its reasonable control or for losses that were not reasonably foreseeable when the contract was entered into.
Products sold through the Website are intended for personal use unless otherwise agreed.
18. FORCE MAJEURE
NARII will not be responsible for failure or delay in performing an obligation where such failure or delay results from an event qualifying as force majeure under applicable French law.
Where such an event affects an order, NARII will inform the customer where reasonably possible and will comply with the customer's applicable statutory rights.

We will endeavour to respond to complaints within a reasonable period.
20. CONSUMER MEDIATION
In accordance with the French Consumer Code, consumers have the right to access a consumer mediation procedure free of charge for the amicable resolution of a dispute with NARII after first submitting a written complaint directly to NARII.
Subject to confirmation of NARII's registration with the mediation service, the appointed consumer mediator is:

Consumers may submit a mediation request through the CM2C website.
Mediation is free of charge for the consumer. The consumer remains free to accept or refuse mediation and retains the right to pursue any remedies available through the courts.
21. GOVERNING LAW AND JURISDICTION
These Terms and contracts concluded through the Website are governed by French law.
If you are a consumer resident in another country, this choice of law does not deprive you of any mandatory consumer protections afforded to you under the law applicable in your country of residence where such protections cannot lawfully be excluded.
In the event of a dispute, the parties are encouraged to seek an amicable resolution first.
Consumers may bring proceedings before any court having jurisdiction under applicable consumer and procedural law.
22. SEVERABILITY
If any provision of these Terms is held to be invalid, unlawful or unenforceable, the remaining provisions will continue in full force to the extent permitted by law.
23. ENTIRE AGREEMENT
These Terms, together with the policies and information expressly incorporated into the purchase process, constitute the contractual terms applicable to purchases made through the Website.
Nothing in these Terms limits any rights granted to consumers by mandatory applicable law.
